Welcome to BizCaddy. These Terms & Conditions (the “Terms”) govern your access to and use of our website, applications delivered via the web, and other related services (collectively, the “Service”) provided by BizCaddy (“we”, “us”, “our”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Service.
1. Definitions
“Account” means a unique account created for you to access our Service or parts of our Service.
“Content” means any text, images, audio, video or other information you upload to the Service.
“User”, “you” or “your” means the individual or legal entity accessing the Service.
“Third-Party Client Information” means information relating to your clients or customers which you process or upload to the Service in connection with your use of the Service.
2. Use of the Service
2.1 Eligibility: You represent and warrant you are at least 18 years old and have legal capacity to enter into these Terms.
2.2 Licence: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service.
2.3 Restrictions: You shall not (and shall not permit others to) (a) copy or modify the Service; (b) reverse engineer or attempt to derive the source code of the Service; (c) use the Service in a way that violates applicable law, infringes third-party rights, or is harmful.
2.4 Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials, and for all activity under your account. You must notify us immediately of any unauthorized use.
3. Payment, Fees & Subscriptions
3.1 Subscription: Use of certain parts of the Service may require you to subscribe and pay fees in accordance with the plan you select.
3.2 Billing: Fees will be billed in advance on a recurring basis (e.g., monthly or annually) as described during signup.
3.3 Changes: We reserve the right to change our fees or billing methods at any time; we will provide notice of material changes before they take effect.
3.4 Refunds: Unless otherwise stated, all payments are non-refundable.
3.5 Suspension for Non-Payment: We may suspend or terminate your access to the Service if you fail to pay any fees when due.
4. Content & User Data
4.1 Your Content: You retain ownership of all Content you upload to the Service. You grant us a worldwide, royalty-free, transferable license to host, store, use, reproduce, modify, publish, and display such Content in connection with providing the Service.
4.2 Third-Party Client Information: If you upload or process third-party client data via the Service, you represent you have all necessary rights and consents from your clients to do so, and that such data may be used in accordance with our Privacy Policy.
4.3 Data Security: We implement commercially reasonable security measures to protect your data. However, we cannot guarantee absolute security or availability.
4.4 Backups: While we may perform backups of Content, you agree to maintain independent copies of your Content and to assume responsibility for any loss or corruption.
5. Intellectual Property
The Service (excluding your Content) and all intellectual property rights therein are owned by us or our licensors. Nothing in these Terms grants you any rights to our trademarks, service marks, trade names, or logos.
6. Termination
6.1 Term: These Terms remain in effect until terminated by you or by us.
6.2 Termination by You: You may terminate your Account at any time by deactivating it or notifying us.
6.3 Termination by Us: We may suspend or terminate your access immediately and without notice if you breach these Terms, misuse the Service, or for any other reason in our sole discretion.
6.4 Effects: Upon termination, your right to use the Service will immediately cease. We may delete or deactivate your Account and Content. Fees paid are non-refundable.
7. Disclaimers & Limitation of Liability
7.1 Disclaimer: The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind (express or implied). We do not guarantee the Service will meet your requirements, be uninterrupted, error-free or secure.
7.2 Limitation of Liability: To the maximum extent permitted by applicable law, in no event will BizCaddy or its affiliates be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data or other intangible losses arising from your use of or inability to use the Service. Our total aggregate liability shall not exceed the amounts you have paid to us in the twelve (12) months preceding the claim (or US$100 if no payment was made).
8. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of [Jurisdiction, e.g., State of Delaware, USA] (excluding conflict of law rules).
